Torrescan Innovations Inc. (referred to as “Sator Robotics,” “we,” or “us”) operates the website www.strobotics.io (the “Site”), where you (referred to as a “Customer” or “you”) can purchase robotics products (the “Products”).

We offer the Site and resell Products subject to the following Conditions of Use and Sale (the “Conditions”), which form a legally binding contract between you and Sator Robotics. These Conditions apply to your use of the Site and any purchases you make. We may modify the Site and these Conditions at any time without prior notice, so please review them each time you place an order. If you do not agree with these Conditions, please do not use the Site or purchase any Products.

All Products sold on the Site are believed to be of good quality and reliable. However, Sator Robotics strongly advises against using these Products in any application where a malfunction could result in property damage, injury, or death to humans or animals. The user is always primarily responsible for the safe operation of any robotics technology.

Please be vigilant and act with caution.

Website Use

You agree to use the Site only for its intended purposes as outlined in these Conditions. You will not attempt to access the Site through any automated means, such as web scrapers or crawlers, unless you have a separate written agreement with Sator Robotics. You also agree not to interfere with the Site’s functionality or duplicate, reproduce, copy, distribute, or resell any of its content. You are solely responsible for any breaches of these obligations and their consequences.

All information, images, descriptions, and programming examples on the Site are for instructional purposes only and are not guaranteed for any specific purpose. Sator Robotics is not responsible for any third-party content displayed on the Site or for any copyright or intellectual property infringement claims that may arise from your use of such material. Links to third-party websites are provided as a resource, but Sator Robotics is not responsible for their content.

Purchase Agreement

By accepting delivery of any Product purchased from us, you agree to be bound by the terms below. These terms are the exclusive terms governing the sales transaction between you and Sator Robotics. Any attempt by you to alter, supplement, or amend these terms is null and void.

Risk of Loss

The risk of loss and title for Products purchased from the Site passes to you upon your receipt of the item(s).

Order Cancellation

Due to the nature of our products being manufactured to order, you must cancel within 7 days of placing your order. We are unable to accept cancellations after this period.

Returns

Due to the specialized industrial and commercial nature of our equipment, we do not accept returns. All sales are final.

Product Information

Product Listings

We make every effort to ensure the accuracy of our Product listings, including descriptions, images, specifications, and pricing. However, we cannot guarantee that all information will be entirely accurate, complete, or current, and we are not responsible for any errors.

Product Revisions

We are not responsible for changes or modifications to Product specifications or physical appearance. While we rely on manufacturers to communicate these changes, we may not be able to alert you prior to your purchase. As a result, Sator Robotics is not responsible for changes in Product specifications or other information.

Discounts

Volume Discounts

If you require multiple items and the total is over CAD 100,000.00, you can request a quotation through our Support Center. We will evaluate your order to determine if a discount can be provided. We will consider the nature of your order, repeat business, and the possibility of an ongoing partnership.

Warranty & Disclaimers

Warranty

Professional & Specialized Equipment is designed for commercial, industrial, or research use and should not be purchased for consumer or household purposes. We assume that the purchaser has the necessary technical expertise to assemble, configure, and operate the equipment.

Warranty coverage is provided solely by the manufacturer and may include repair, replacement parts, or remote technical assistance.

Disclaimer

Sator Robotics sells Products that are not manufactured by us. In such cases, the manufacturer’s warranty is provided by a third-party company with its own terms and conditions. We are not responsible for any terms, guarantees, or warranties given by a third-party manufacturer.

We pass through any manufacturer warranty to you, and you acknowledge that you must seek recourse only under those warranties and only against the manufacturer. Sator Robotics makes no other representations or warranties regarding the Products, whether express or implied by law or trade usage, to the fullest extent permitted by law.

Limitation of Liability

Under all circumstances, Sator Robotics’ maximum liability is limited to the purchase price of the Products sold. We are not liable for any third-party claims, malfunction, delays, service interruptions, loss of business, or special or exemplary damages, regardless of whether we have been made aware of the possibility of such claims or damages.

Technical Support

We post technical information provided to us by the Product manufacturers. For the most accurate answers to your technical questions or for additional information, we recommend you contact the manufacturer directly. On-site technical support may be available for a fee, as per a separate agreement.

Pricing and Payments

Pricing

All prices are in Canadian currency (CAD) and do not include applicable taxes or shipping and handling fees. Prices may change without notice due to fluctuations in supplier or manufacturer costs. If a pricing error occurs, we reserve the right to either honor the price or inform you of the error and allow you to either proceed with the corrected price or cancel the order.

Payment Methods

As per our agreement, we only accept Electronic Funds Transfer (EFT) as a payment method. Payment for the ordered product(s) is due prior to shipment.

Taxes

The tax rate depends on the province or territory where the order is shipped. If you are located outside of Canada, additional duties, taxes, and/or customs fees may be charged upon delivery. You are responsible for paying these fees. If you refuse to pay them, the package will be returned to us, and any refund will be determined after we confirm the shipping, return, and any applicable customs and storage fees. We strongly advise you to check with your country’s customs department for more information on import policies.

General Provisions

Governing Law and Jurisdiction

  • For Canadian Consumers: These Conditions and any disputes will be governed by the laws of the Province of Ontario and the laws of Canada applicable therein. Any disputes will be submitted to the courts of competent jurisdiction in the judicial District of Toronto, Ontario.
  • For Customers in the European Union: These Conditions are subject to French law. If you are a consumer with habitual residence in an EU country, you also benefit from the mandatory protections of your local law. You agree to submit all disputes to the non-exclusive jurisdiction of the courts in Paris, France, which means you can also bring an action in your country of residence.
  • For All Other Customers: Any dispute relating to your use of the Site or our Products will be resolved by binding arbitration rather than in court, with the exception of small claims court. The arbitration will be administered by the American Arbitration Association (AAA) under its rules. You and Sator Robotics agree that any dispute resolution will be conducted on an individual basis and not as a class action. If a claim proceeds in court, both parties waive any right to a jury trial. The U.S. Federal Arbitration Act, applicable U.S. federal law, and the laws of the state of New York, United States, will govern these Conditions.

Severability

If any part of these Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions will not be affected. The invalid provision will be modified to be as close as possible to the original intent while remaining valid and enforceable under applicable law.

Waiver

If either party fails to enforce a provision of these Conditions, it does not waive their right to enforce that provision at any time thereafter. Any waiver of a breach must be in writing.

Entire Agreement

These Conditions, along with your invoice, constitute the complete and exclusive agreement between Sator Robotics and you, superseding all prior communications. These Conditions cannot be modified by any prior course of dealings or trade custom.

You and Sator Robotics agree that these Conditions have been entered into and will be interpreted in English.
